Business Valuations for Ownership Transactions
When ownership of a closely held business changes, a central question is often unavoidable: What is the business or ownership interest worth?
Gateway Valuation Consulting provides independent business valuations for employee and partner buy-ins, shareholder buyouts and redemptions, management transitions, and other internal ownership transactions.
Common Ownership Transactions
Gateway provides valuations for matters such as:
- Employee or key-person buy-ins
- Partner or shareholder admissions
- Shareholder buyouts
- Company redemptions
- Partner or shareholder retirement
- Management buy-ins
- Internal stock or membership-interest transfers
- Family ownership transfers
- Other negotiated changes in closely held ownership
Independent Valuations – Not Transaction Representation
Gateway's role is to provide the independent valuation analysis. We do not act as a business broker, investment banker, transaction intermediary, buyer or seller representative, or negotiation advisor.
This focused role allows Gateway to work alongside the company's CPA, attorney, and other advisors while remaining centered on the valuation question.
Scope Matched to the Transaction
The appropriate valuation scope depends on the purpose of the transaction, the intended users, the governing agreements, the ownership interest being transferred, and the level of reporting required.
Gateway performs both valuation engagements and calculation engagements under the AICPA Statement on Standards for Valuation Services (VS Section 100). The appropriate engagement type is established before work begins.
Discuss an Ownership Transaction
If an employee, partner, shareholder, family member, or other party is buying into or exiting a closely held business, contact Gateway to discuss the valuation need and appropriate scope.
